This Artist Content License (“License”) governs the submission and exhibition of content through GROW and The Museum For A Rainy Day, a digital art institution operated by Lenguart LLC (“The Museum For A Rainy Day” or “MFARD”).

Plain-language summary

You retain ownership of your work. The Museum For A Rainy Day (MFARD) receives permission to review, exhibit, and promote your Gallery and your participation in MFARD exhibitions across MFARD-operated and third-party channels, including websites, social media, newsletters, press materials, presentations, livestreams, podcasts, and video platforms (including YouTube), and to maintain an archival record of past exhibitions. You may request removal of your art from GROW and MFARD-controlled active web/app exhibition surfaces, but MFARD cannot guarantee full removal from previously published promotional materials or external communications. App updates and distribution delays can also affect timing. Draft galleries that are not submitted for review may be automatically refreshed or deleted after inactivity.

1. Ownership

You retain all ownership rights in the artwork, images, text, and other content you submit through GROW.

Nothing in this License transfers ownership of your content to MFARD.

2. License Grant

By submitting or presenting a Gallery for review, you grant Lenguart LLC and The Museum For A Rainy Day (MFARD) a non-exclusive, worldwide, royalty-free license to reproduce, display, and distribute your submitted Gallery solely to:

  • operate GROW,
  • conduct curatorial review,
  • exhibit selected work,
  • promote MFARD and its exhibition program across MFARD-operated and third-party channels, including websites, social media, newsletters, press materials, presentations, livestreams, podcasts, and video platforms (including YouTube),
  • use excerpts, thumbnails, stills, and preview images for promotional and educational communications related to MFARD exhibitions, and
  • maintain institutional and archival documentation related to MFARD.

3. Digital Representation and Fidelity Limitations

You acknowledge that works submitted through GROW are presented as digital representations (for example, photographs or scans of physical artworks), not as physical originals.

To prepare and present exhibitions across web, app, VR, and related platforms, MFARD may apply technical processing, including resizing, cropping, compression, re-encoding, color-space conversion, layout adaptation, and rendering in 2D/3D environments.

As a result, displayed works may differ from physical originals in appearance, including color, contrast, brightness, sharpness, scale, texture, framing, and spatial context, due to camera capture, source files, rendering pipelines, platform constraints, and end-user display hardware.

MFARD will use commercially reasonable efforts to preserve artistic intent and will not intentionally make material alterations to the artistic integrity of submitted work. However, you agree that exact visual equivalence to the physical artwork is not guaranteed.

4. Explicit Exclusions

Without your explicit written consent, MFARD will not:

  • sell your submitted Gallery content,
  • sublicense it to third parties for unrelated use,
  • use it for merchandise,
  • mint it as NFTs, or
  • use it for unrelated commercial exploitation.

5. Removal Requests and Platform Limitations

You may request removal of your Gallery content at any time through the platform.

MFARD will use commercially reasonable efforts to remove content from active exhibition surfaces controlled by MFARD (including GROW and MFARD-controlled website/app exhibition views) and from future application or content updates within a reasonable period of time.

MFARD cannot guarantee full removal from already published promotional materials, external communications, third-party re-posts, screenshots, downloads, or recordings that are outside MFARD’s direct control.

Because MFARD distributes content across applications and devices, copies may persist temporarily in already-downloaded app versions, cached or offline devices, internal archival records, and documentation or historical references. MFARD does not control when end users install application updates, and releases may occur periodically or seasonally.

If a People’s Gallery exhibition is removed after approval and floor assignment, that floor slot may be reassigned to another artist in a future cycle.

MFARD will not continue promoting removed work as part of active exhibitions and will not reintroduce removed work in future updates without your consent.

6. Draft Retention and Cleanup

If you create a gallery draft but do not submit it for curatorial review, MFARD may automatically refresh or delete that draft and related non-public draft assets after prolonged inactivity.

The current inactivity window is 60 days from draft creation. MFARD may adjust this period as platform needs evolve.

7. Artist Warranties

You represent and warrant that:

  • you own the rights in the content you submit, or you have all permissions required to submit it, and
  • your submission does not infringe or violate the copyright, trademark, privacy, publicity, or other rights of any third party.

8. Governing Law

This License is governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

9. Indemnification

You agree to indemnify and hold harmless Lenguart LLC and The Museum For A Rainy Day (MFARD) from and against any third-party claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

(a) a breach of your representations or warranties under this License, or
(b) a claim that the content you submitted infringes or violates the intellectual property, privacy, publicity, or other rights of a third party.

This indemnification obligation applies only to the extent that such claims arise from your submission of content in violation of this License or applicable law.

MFARD will make reasonable efforts to notify you of any such claim.
